Growing a business
A business can either grow organically or through mergers and acquisitions. For each of these it is likely that additional financing will be needed at some point in time and we can help you identify the appropriate sources of finance and assist in the raising of this finance. Mergers and Acquisitions Our involvement can commence at any stage of the process as follows:
- Target identification
- Advice on the approach to the target
- Project management – co-ordinate the activities of other parties (funders, lawyers etc)
- Advice on the offer price and purchase consideration
- Creation of a suitable commercial, financial and tax-efficient deal structure
- Advice on tactics to adopt during the bid
- Leading the negotiations on behalf of the purchaser
- Advice on financing and other key issues.
Due Diligence Prior to the completion of any deal, due diligence should be carried out on the target. The scope of our work would generally include the following:
- Evaluation of the target’s operational structure, including an assessment of the quality of the management
- Review of the historical results to ensure they properly reflect the profit trends of the underlying business
- Review of the Balance Sheet checking that they provide a fair reflection of the company’s assets and liabilities, including the taxation position
- Identifying the normal cash flow cycles of the business
- A review of the financial projections.
Our report will contain considered judgements and not just a list of facts and figures. This will alert you to any potential problems and actions to be taken.
